Effective Date: June 10, 2026

Article 1 Introduction

1.1 Parties and Effect

This Agreement is entered into by and between you (hereinafter referred to as "you" or "User") and AppWave Limited (a limited company incorporated in the Hong Kong Special Administrative Region, hereinafter referred to as "we", "us" or "our") regarding your purchase and use of Query Packages, API Services and related payment services through Jucha.com (hereinafter referred to as "the Platform"). This Agreement constitutes a prerequisite for your use of our payment services. You should carefully read and fully understand this Agreement before using the relevant services.

1.2 Components of the Agreement

This Agreement, together with the Jucha.com Terms of Use ("Terms of Use"), Privacy Policy, Third-Party Account Authorization Login Agreement, and various rules, announcements, operational guidelines and other documents as published and posted by the Platform from time to time, are integral parts hereof and shall have equal legal effect. In the event of any inconsistency between this Agreement and the Terms of Use regarding the same matter, this Agreement shall prevail with respect to matters related to payment services and the purchase and use of Query Packages and API Services.

1.3 Acceptance

By selecting a Query Package or API Service on the Platform page, confirming an order and completing payment, or by any act of using a Query Package or API Service, you indicate that you have fully read, understood and agreed to all terms of this Agreement. If you are unwilling to accept any term of this Agreement, you shall not use or shall immediately cease using the Platform's payment services, Query Packages and API Services.

1.4 Review Reminder

You are reminded again to carefully read and fully understand the content of each term, especially the refund policy, limitation of liability, dispute resolution clauses and other terms involving your material rights and interests, which are identified in bold or underlined. Unless otherwise expressly provided, any new payment products, new billing models and new services introduced by us shall be subject to this Agreement.

Article 2 Definitions
Unless otherwise defined in this Agreement, the following terms shall have the meanings set forth below:
2.1 "Query Points" or "Points" means the virtual measurement units granted by the Platform to users, which may be consumed to redeem query services, and may be presented under the product names "Query Points", "Points" or other names.
2.2 "Query Package" means a package product purchased by a user through payment, containing a certain amount of Query Points and corresponding service entitlements. Query Packages are categorized into types such as "Daily Billing Query Package" and "Volume-based Billing Query Package", as specifically displayed on the Platform pages.
2.3 "API Service" means the service purchased by a user through payment, granting a designated account the right to invoke API interfaces, specifically including queries per second (QPS) configuration, purchase duration, supported query scope, etc., as displayed on the Platform pages.
2.4 "Operational Points" means the Query Points deducted by the system based on the type and quantity of query tasks actually executed each time a user initiates a query request.
2.5 "Refunded Points" means the Query Points required to be returned to a user's account due to system anomalies, query task failures, or other reasons accepted by the Platform, where the deducted Points need to be refunded.
2.6 "Third-Party Payment Channel" means the payment processing services integrated by the Platform and operated by independent third parties, including but not limited to e-wallets, bank card acquiring institutions, digital currency payment processors, etc.
2.7 "Digital Currency" means the digital asset payment methods based on blockchain technology accepted by the Platform according to actual operational circumstances. The specific supported currencies and network types shall be as announced on the Platform pages.

Article 3 Service Description and Billing Rules
3.1 Scope of Services
The Platform provides you with Query Package purchase, API Service purchase and related payment services, enabling you to select and purchase Query Packages and API Services through the Platform interface, confirm orders and complete payments, and view order records and usage details.
3.2 Billing Models
The billing models supported by the Platform include but are not limited to:
(a) Daily Billing: You may select a daily available quota and a validity period on the purchase page, and the system will automatically calculate and display the payable amount based on your selected configuration. During the validity period, the daily available quota resets automatically, and any unused quota does not accumulate to the next day.
(b) Volume-based Billing: You may select a total quota and a validity period on the purchase page, and the system will automatically calculate and display the payable amount based on your selected configuration. During the validity period, you may flexibly consume Points until the quota is exhausted or the validity period expires.
(c) Duration-based Billing: You may select a QPS configuration and purchase duration on the purchase page, and the system will automatically calculate and display the payable amount based on your selected configuration. During the validity period, you obtain the corresponding API invocation rights. For example, the annual fee benchmark for 1 QPS is $128, and 2 QPS is 2 times the benchmark, and so forth, as specifically displayed on the Platform pages.
(d) Other Billing Models: We may introduce other billing models from time to time based on business development. The specific rules shall be as announced by the Platform.
3.3 Applicable Scope and Consumption Rules
(a) Query Packages may be used for the online query services, offline query services and API Services provided by the Platform. The specific supported functional modules and query items shall be as displayed on the Platform pages.
(b) API Services grant the designated account API interface invocation capability. When querying a domain name, corresponding Points from the relevant Jucha account will be deducted. Points are deducted on a per-item basis, with a minimum of 1 Point per domain name, as specifically displayed on the Platform pages.
(c) Different query tasks may correspond to different Points consumption standards. The Platform reserves the right to adjust the consumption rules as necessary for business purposes, and any adjustments will be announced through the Platform pages.
(c) If the Platform provides a function to set the priority consumption of multiple Query Packages, you may configure it yourself in the account center; if you do not set it, the system will deduct Points according to the default rules, as specifically announced by the Platform.
3.4 Vouchers and Coupons
The Platform may offer promotional tools such as vouchers, coupons or discount coupons from time to time. Vouchers can currently be obtained through points redemption on supporting platforms and can only be automatically applied to offset the payable amount when purchasing Query Packages. The specific applicable scope, deduction rules, acquisition methods and usage restrictions shall be as announced on the Platform pages.
3.5 Points Deduction and Refund
(a) Each time you initiate a query request, the system will automatically deduct the corresponding Operational Points based on the type and quantity of query tasks actually executed. The deduction result shall be based on the system record.
(b) If Points are improperly deducted due to system anomalies, query task failures, data not returned, or other reasons accepted by the Platform, the system may return the corresponding Points to your account as Refunded Points. The validity period and usage rules for Refunded Points shall be handled according to the rules announced by the Platform.
(c) Points deducted due to your own reasons (including but not limited to submitting incorrect query parameters, duplicate submissions, mid-way cancellation, etc.) shall not be refunded.
3.6 Account Information Display
You may view information such as your Query Package holdings, API Service status, usage details, Operational Points and Refunded Points records for each charged query, validity period status, etc., on the "Account Center" or similar functional page of the Platform. The Platform endeavors to ensure the accuracy of the above information; however, any display discrepancies caused by technical reasons such as system delays or data synchronization shall be subject to the Platform's backend records.
3.7 Service Adjustments
We may from time to time adjust, add or discontinue the types, quota options, price standards, validity period settings, consumption rules, functional applicable scope, etc., of Query Packages and API Services based on business development, market conditions, cost changes or other factors. In the event of material changes, we will make announcements on the Platform pages. If you do not agree with the adjustments, you shall cease using the relevant services.

Article 4 Payment Methods and Processing
4.1 Payment Methods
The Platform supports payment through third-party payment channels. Specific methods include but are not limited to e-wallets, bank cards (including credit cards and debit cards), digital currency transfers, etc., as actually displayed on the purchase page.
4.2 Payment Processing
Once your payment instruction is issued, it is deemed irrevocable. Payment processing is completed by third-party payment channels and is governed by the terms of service, privacy policies and technical rules of such third parties. You shall ensure that the payment account or wallet you use has legal and sufficient funds and comply with the compliance requirements of such third parties (including but not limited to anti-money laundering, real-name authentication, etc.).
4.3 Payment Confirmation and Crediting
(a) E-wallet and bank card payments: Typically credited instantly or within a reasonable time after successful payment, subject to the processing time of the third-party payment channel.
(b) Digital Currency payments: Payment is deemed successful only after a sufficient number of confirmations have been obtained on the blockchain network. The crediting time depends on the blockchain network congestion and miner fee settings. You shall solely bear the risk of crediting delays or failures caused by network delays, transaction congestion, insufficient miner fees, or incorrect address/tag information entered by you.
4.4 Handling of Payment Anomalies
If payment failure, duplicate deduction or crediting delay occurs due to reasons beyond the Platform's control, such as third-party payment channel system failure, network interruption, bank chargeback, digital currency network anomalies, you shall first contact the third-party payment channel for resolution. We will provide necessary assistance within a reasonable scope, but shall not bear direct liability for losses caused by third-party payment channel reasons.
4.5 Exchange Rate and Price
(a) The payable amount displayed on the Platform is denominated in US Dollars (USD) by default. If you use a payment method denominated in a currency other than USD, the actual deducted amount may differ from the USD amount displayed on the Platform due to exchange rate conversion and handling fee policies of the payment channel or card-issuing bank. Your bill shall prevail.
(b) If you pay with Digital Currency, you shall solely bear the risk of value differences arising from market price fluctuations of the Digital Currency between the time of payment and the time of crediting. The Digital Currency payment amount is determined by the payment processor based on the real-time exchange rate.

Article 5 Use and Management of Query Packages and API Services
5.1 Effectiveness and Validity Period
A Query Package takes effect upon successful purchase and crediting. The validity period is determined based on the type and configuration you selected at the time of purchase, as displayed in the account center. Upon expiration of the validity period, any unused Query Points will automatically expire and will not be refunded or extended, unless otherwise provided by laws and regulations or by separate announced policies of the Platform. An API Service takes effect upon successful purchase and activation. Upon expiration of the validity period, the API invocation rights will automatically terminate and will not be refunded or extended, unless otherwise provided by laws and regulations or by separate announced policies of the Platform.
5.2 Usage Restrictions
Query Packages and API Services are for your own use only and may not be transferred, lent, gifted or redeemed for cash, unless otherwise provided by laws and regulations or separately authorized in writing by the Platform.

Article 6 Refund Policy
6.1 General Principle
Query Packages and API Services are virtual service products. Except as expressly provided in this Article or as otherwise mandatorily provided by laws and regulations, no refund for change of mind will be supported once the purchase is successful. Before purchasing, you should carefully confirm the type, quota, validity period, price and applicable scope of the selected product.
6.2 Circumstances for Refund
Only under the following circumstances may you submit a refund request to the Platform, which will be processed upon our review and confirmation:
(a) Due to Platform system failure or technical anomaly, you have made payment but the Query Package fails to be credited normally or is completely unusable, or the API Service fails to be activated normally or is completely unusable, and this has been verified and confirmed by us;
(b) Due to reasons attributable to the Platform, the service functions corresponding to the Query Package you purchased are entirely discontinued or unavailable for an extended period, or the API Service is entirely discontinued or unavailable for an extended period, and no equivalent alternative product is available;
(c) Other circumstances where refund is mandatorily required by laws and regulations.
6.3 Circumstances of Non-Refund
Under the following circumstances, your refund request will not be supported:
(a) The Query Package has been partially or fully used (including but not limited to any Operational Points having been consumed), or the API Service has been partially or fully used (including but not limited to any API call records having been generated);
(b) Your account has been frozen, restricted or cancelled due to your violation of the Terms of Use or this Agreement;
(c) Payment disputes arising from reasons attributable to a third-party payment channel (such as chargebacks, account anomalies, incorrect wallet addresses, etc.);
(d) You are unable to provide valid proof of purchase or order information;
(e) Other circumstances that do not meet the conditions set forth in Section 6.2 above or provided by laws and regulations.
6.4 Refund Processing
(a) Refund Amount: Under refundable circumstances, the refund amount shall be the net amount of USD actually paid by you (after deducting handling fees already charged and non-refundable by the third-party payment channel and exchange rate losses). If Digital Currency was used for payment, the refund amount will be converted to the original payment currency or USD at the exchange rate at the time of payment or as announced by the Platform, and you shall solely bear the risk of exchange rate fluctuations during the conversion process.
(b) Refund Path: Refunds will, in principle, be returned via the original route to your original payment account. If the original route cannot be used due to reasons such as cancellation of the original payment account or invalidation of the Digital Currency wallet address, you shall provide an alternative refund path acceptable to us; otherwise, we may withhold the refund until you provide a valid path.
(c) Processing Timeframe: We will complete the review within fifteen (15) business days after receiving your complete refund application materials. Upon approval, we will complete the refund operation within a reasonable time after confirming the refund. The specific crediting time depends on the processing time of the third-party payment channel or the blockchain network.
(d) Consequences of Refund: Upon completion of the refund, the corresponding Query Package or API Service will be revoked or terminated, and you shall no longer use it. If you have partially used it, we have the right to deduct the price corresponding to the consumed portion from the refund amount, or require you to return the corresponding value.

Article 7 Anti-Money Laundering and Counter-Terrorist Financing
7.1 Identity Verification
To fulfill anti-money laundering (AML) and counter-terrorist financing (CTF) obligations, the Platform has the right, to the extent permitted by law, to collect and verify your identity information, including but not limited to name, date of birth, nationality, contact information, government-issued identity documents, proof of residential address or other supporting materials, and to update or re-verify as necessary.
7.2 Transaction Monitoring
You undertake not to use the Platform for any activities that violate laws or circumvent regulations, including but not limited to money laundering, terrorist financing, fraud, fraudulent fund transfers or other illegal fund activities. The Platform will continuously monitor transactions involving you to identify suspicious transaction activities. If any suspected illegal or non-compliant situation is discovered, the Platform has the right to take measures including but not limited to: freezing the relevant account or transaction, reporting to the relevant competent authorities, and requiring you to provide further explanation of the reasonableness of the transaction and proof of source of funds.
7.3 Cooperation Obligation
When the Platform issues a risk alert, compliance investigation notice, or a request for supplementary materials based on AML and CTF obligations, you shall actively cooperate within the specified period, provide true, complete and valid evidentiary materials as required, and provide reasonable explanations regarding the source of funds, purpose of use, transaction purpose, etc. If you refuse to cooperate, provide false or incomplete information, the Platform has the right to suspend or terminate the relevant functions, freeze the relevant funds, and report to the relevant competent authorities if necessary.
7.4 Disclaimer
If your account functions are restricted, transactions are suspended, or information is disclosed due to the Platform's fulfillment of its obligations under this Article, it shall not be deemed a breach of contract or a violation of our service commitment to you, and you agree that the Platform shall not bear any liability for compensation arising therefrom.

Article 8 User Responsibilities and Prohibited Conduct
8.1 Accuracy of Information
You shall ensure that the payment information, contact information and other materials you provide during the purchase process are true, accurate and complete. Any payment failure, refund delay or other losses caused by incorrect information provided by you shall be borne by you alone.
8.2 Prohibited Conduct
You shall not engage in the following conduct when using the payment services:
(a) Using funds or payment accounts that are stolen, forged, unauthorized, or from illegal sources for payment;
(b) Using the Platform's payment services for money laundering, terrorist financing, tax evasion or other illegal or criminal activities;
(c) Maliciously initiating chargebacks, false disputes, or other acts that harm the legitimate rights and interests of the Platform or third-party payment channels;
(d) Attempting to bypass the Platform's payment system by conducting private transactions or purchasing Query Packages or API Services through unofficial channels;
(e) Other conduct that violates laws and regulations, this Agreement or the Platform rules.
8.3 Compliance Cooperation
We have the right to monitor and review your payment activities, and require you to provide identity certificates, proof of source of funds or other relevant materials, in accordance with the relevant laws and regulations of the Hong Kong Special Administrative Region and the compliance requirements of third-party payment channels. You shall cooperate accordingly; otherwise, we have the right to suspend or terminate your payment services and account usage rights.

Article 9 Platform Rights and Disposal Measures
9.1 Order Management
Under the following circumstances, we have the right to reject, cancel or suspend your purchase order or usage rights for Query Packages or API Services without assuming any liability for breach of contract:
(a) You violate any provision of this Agreement or the Terms of Use;
(b) Your payment behavior is abnormal, risky, or subject to complaints by a third party;
(c) Your order contains an obvious pricing error (such as a price display error caused by a system malfunction) and such erroneous pricing does not conform to normal commercial logic;
(d) Laws, regulations or regulatory authorities require us to take corresponding measures;
(e) Other circumstances where we deem it necessary to protect the interests of the Platform, other users or the public.
9.2 Handling of Erroneous Pricing
If a Query Package or API Service you purchased has an obvious pricing error due to system malfunction, page display error or other technical reasons, we have the right to notify you upon discovery and cancel the order or adjust it to the correct price. If you have already made payment, we will process a refund in accordance with the refund policy in Article 6 of this Agreement, or negotiate with you to pay the price difference and continue performance.
9.3 Disposal of Violating Accounts
If you violate the provisions of Article 8 of this Agreement, we have the right to take measures such as warning, restricting functions, freezing accounts, etc., in accordance with Article 8 of the Terms of Use, and reserve the right to pursue your legal liability.

Article 10 Limitation of Liability
10.1 Scope of Disclaimer
To the maximum extent permitted by law, we, our affiliates, parent companies, subsidiaries, officers, directors, employees, representatives, agents, licensors or licensees shall not be liable for any direct, indirect, special, punitive, incidental or consequential damages (including loss of profit) arising out of or in connection with the use of this payment service, the purchase or use of Query Packages or API Services, third-party payment channel services, digital currency networks, or this Agreement, even if they have been advised of the possibility of such damages.
10.2 Indemnification
You agree to indemnify, defend and hold harmless us and our affiliates, officers, directors, employees, representatives, agents, licensors and licensees from and against any and all losses, claims, demands, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of:
(a) Your use of this payment service, Query Packages or API Services;
(b) Your breach of this Agreement or the documents incorporated herein (including but not limited to the Terms of Use, Privacy Policy and various Platform rules);
(c) Your violation of any applicable law or infringement of any third party's rights when using the payment services;
(d) The information you provide being untrue, inaccurate, incomplete or illegal.
10.3 Cap on Liability
In no event shall our liability to you or any third party (whether in contract, tort or otherwise) exceed the amount actually paid by you for the order in dispute.
10.4 Third-Party Liability
Disputes between you and a third-party payment channel regarding service quality, security, timeliness and compliance shall be resolved directly with such third party. We shall not bear joint and several liability for the acts or omissions of third-party payment channels, unless otherwise mandatorily provided by laws and regulations.
10.5 Force Majeure
In the event that a force majeure event (as defined in the Terms of Use) renders us unable to fully perform our obligations under this Agreement, we shall notify you within a reasonably practicable timeframe and shall be exempted from relevant liability to the extent affected by the force majeure event. If the services you purchased cannot be used due to force majeure, we will negotiate with you based on fair and reasonable principles, including but not limited to extending the term, replacing with equivalent services, or providing a refund based on the unused proportion.

Article 11 Amendment and Termination of the Agreement
11.1 Reservation of Right to Amend
We reserve the right, at our sole discretion, to change, modify, add or remove portions of this Agreement at any time. Changes to this Agreement will become effective upon posting on the Platform, unless otherwise stated. In the event of material changes, we will notify you by way of prominent announcement on the website or other appropriate means, and you should periodically review this Agreement to be informed of updates. Your continued use of the payment services after the changes become effective signifies your unconditional and unreserved acceptance of and agreement to be bound by the then-current Agreement.
11.2 Termination by User
You have the right to cease using this payment service at any time. If you decide to terminate, it is recommended that you apply for account cancellation in accordance with Article 8 of the Terms of Use, or cease use on your own. For purchased Query Packages and API Services, you may continue to use them before their validity period expires, but no new purchases or renewals will be supported.
11.3 Effect after Termination
Upon termination of this Agreement or account cancellation, the provisions of this Agreement that by their nature should survive termination (including but not limited to the refund policy, limitation of liability clauses, indemnification clauses, governing law and dispute resolution clauses, etc.) shall remain in full force and effect and be binding upon both parties.

Article 12 Notices and Contact Information
12.1 Method of Notice
All notices from us to you under this Agreement may be made through web announcements, internal site messages, email or other means, and such notices shall be deemed delivered to you on the date they are sent.
12.2 Contact Channels
If you have any questions regarding this Agreement or matters related to the payment services (including refund applications, complaints, etc.), please contact us through the online contact channels provided on the website (www.jucha.com). For refund applications and related dispute resolution, you shall provide the order number, payment voucher, description of the problem and your contact information to facilitate our prompt handling.

Article 13 Governing Law and Dispute Resolution
13.1 Governing Law
The interpretation and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
13.2 Dispute Resolution
Any dispute arising out of or in connection with this Agreement shall first be resolved by the parties through friendly negotiation; if negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its arbitration rules then in effect. The seat of arbitration shall be the Hong Kong Special Administrative Region. The arbitral tribunal shall consist of one arbitrator. The language of arbitration shall be Chinese. The arbitral award shall be final and binding upon both parties.

Article 14 Miscellaneous
14.1 Severability
If any provision of this Agreement is deemed void, invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement. In such case, the parties shall replace it with a valid and enforceable provision that best reflects the original intent of the provision.
14.2 Entire Agreement
This Agreement, together with the Terms of Use, Privacy Policy, Third-Party Account Authorization Login Agreement, and the Platform rules as published and announced by the Platform from time to time, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior oral or written agreements, representations and undertakings between the parties concerning the subject matter hereof.
14.3 No Waiver
Our failure at any time to require you to perform any provision of this Agreement shall not affect our right to require such performance at any subsequent time. Any waiver by us of any breach of any provision of this Agreement shall not be construed as a waiver of any subsequent breach.
14.4 Assignment
You may not assign any of your rights or obligations under this Agreement to any third party without our prior written consent. We have the right to assign our rights or obligations under this Agreement to any affiliate or successor related to the Platform's business without further obtaining your consent, provided that we will make an announcement on the Platform pages.
14.5 Headings
The headings of the articles in this Agreement are for convenience of reading only and shall not affect the interpretation of any provision of this Agreement.
