Article 1 Introduction

1.1 Agreement Parties and Effect

These Terms constitute an agreement between the user (hereinafter referred to as "you") and AppWave Limited (a company incorporated in the Hong Kong Special Administrative Region, hereinafter referred to as "we", "us" or "our") governing your use of the products and services of Jucha.com. We will provide the products and services strictly in accordance with these Terms. These Terms constitute a precondition for your use of the products and services provided by us and any derivative services thereof. You should carefully read and fully understand these Terms before using our products and services.

1.2 Acceptance

Your use of the products and services provided by us (including browsing, registration, login, conducting queries, etc.) signifies that you have fully read, understood and agreed to all the provisions of these Terms. If you are unwilling to accept any provision of these Terms, you shall not use or shall immediately cease using the products and services provided by us.

1.3 Platform Introduction

Jucha.com is dedicated to providing users with "simple, convenient, efficient and comprehensive" domain name-related information query services, striving to create an information-rich, highly accurate and reliable comprehensive domain name information query service platform, bringing more practical functions and a more convenient user experience to domain name enthusiasts and investors.

1.4 Review Notice and Scope of Agreement

You are reminded once again to carefully review and fully understand the content of each provision, especially those relating to breach, limitation of liability, dispute resolution, and any other provisions materially affecting your rights and interests, which are identified in bold or underlined text. Unless otherwise expressly provided, any new products, new features and new services launched by us shall also be subject to these Terms. You can review the latest version of the agreement terms on the corresponding service pages. Any amended platform service agreements and transaction rules will be prominently displayed on the homepage. You should pay timely attention to such updates and comply with them when using the services. Our Privacy Policy, Third-party Account Authorized Login Agreement, and various rules, announcements, operational guidelines, etc., published and announced by the platform from time to time, are integral parts of these Terms and have the same legal effect as these Terms.

 

Article 2 Definitions

Unless otherwise provided in these Terms, the following terms shall have the meanings set forth below:

2.1 "Jucha.com" or "the Platform" means the comprehensive domain name information query service platform operated by AppWave Limited, accessible at the official website www.jucha.com.

2.2 "User" or "you" means any individual or entity that accesses and/or uses the products and services provided by Jucha.com.

2.3 "Online Query Service" means the service whereby a user submits a query request in real time through the Platform interface and the Platform provides an instant query result.

2.4 "Offline Query Service" means the service whereby a user submits a batch of domain names, and the backend query server automatically executes the queries and generates the results.

2.5 "Credits" means the virtual units of measurement granted by the Platform to users, which may be used to consume or redeem certain services. On the Platform, Credits may be presented under the names "Query Points", "Points" or other product names, and the specific methods of acquisition, consumption rules and validity period shall be governed by the descriptions published on the Platform pages.

2.6 "Third-party Account" means an account with any of the following third-party platforms that may be used by a User to log into Jucha.com, including but not limited to: Juming account, Juyu account, Google account, Apple account, X (formerly Twitter) account, and any other third-party account login methods announced on the Platform's official website.

2.7 "Domain Name Query" means queries of data such as basic domain name information, filing (ICP) information, backlink information, registration information, Whois information, website history, interception detection, etc.

2.8 "Force Majeure" means any unforeseeable (or if foreseeable, unavoidable in its occurrence or consequences) event occurring during the term of these Terms, beyond the reasonable control of either party, which prevents the full performance of these Terms, including earthquakes, typhoons, fires, floods, wars, strikes, riots, hacker attacks, technical controls imposed by telecommunications authorities, or any other natural or man-made disasters.

 

Article 3 Service Description

3.1 Service Categories

The Platform provides users with domain name-related information query services, which are divided into two main categories: Online Query Service and Offline Query Service. The specific supported function modules, query items and service forms shall be as displayed on the Platform in real time. We may adjust, add or discontinue certain functions from time to time in accordance with business development, and such adjustments will be announced on the Platform pages.

3.2 Online Query Service

This is a domain name information query service where users submit query requests in real time through the Platform interface. Upon receiving a query request, the Platform will provide instant feedback of the query results. The specific scope of functions covered shall be as displayed on the Platform pages.

3.3 Offline Query Service

This is a service whereby a user submits a batch of domain names and the required query type, and the backend query server automatically executes the queries and generates results, provided that the user's account has sufficient Credits. The Offline Query Service supports bulk query needs and its data accuracy is consistent with that of the Online Query Service. Certain function modules may not support the Offline Query mode; details shall be subject to the Platform's announcements. After submitting the domain name list, you do not need to wait further. Once the backend queries are successfully completed, you can view your query orders and results in the Member Centre.

3.4 Credits and Fee Standards

Certain services may require the consumption of account Credits (including Query Points, Points, etc., the same below) or payment in accordance with the then-effective fee standards of the Platform. The Credit rules, fee standards, billing methods and specific service pricing may be adjusted from time to time due to operational strategies, market conditions, cost changes or other factors. Please refer to the latest announcements on the Platform. Your continued use of the relevant paid services constitutes your acceptance of the adjusted fee standards; if you do not agree to the adjustment, you should cease using the relevant services.

3.5 Statement on Service Results

The query results provided by the Platform are generated based on the integration of public databases, third-party interfaces and our own data, and are for your reference only. We endeavor to ensure data accuracy but do not guarantee the absolute real-time nature, completeness or error-free status of all information. You shall bear the risks and consequences of any decisions or actions made in reliance on the query results.

 

Article 4 Account Registration and Management

4.1 Eligibility for Registration

When completing the registration process or otherwise accepting the Platform's services, you must be a natural person, legal person or unincorporated organization with full civil capacity. If you do not possess the aforementioned capacity, you must immediately cease the registration process or discontinue the service; otherwise, your legal guardian/legal representative shall bear all consequences arising therefrom.

4.2 Registration Methods

You may register and use a Platform account through the following methods:

(a) Email Registration: You may register a Platform account using an email address, and set a username and login password.

(b) Third-party Account Login: You may log into the Platform using a third-party platform account. The specific types of third-party accounts supported shall be as announced on the Platform. By logging in with a third-party account, you agree to be bound by the Third-party Account Authorized Login Agreement and authorize us to obtain from the third-party platform the necessary identity verification information in accordance with that agreement, including but not limited to the User ID, username/display name, email address verified by the third-party platform, and login credentials or tokens.

4.3 Truthfulness of Information

You shall provide true, complete and lawful information during the process of registering an account or using the Platform services. If you provide false, incomplete or incorrect information, this may result in your inability to use the Platform or other restrictions. If such actions cause damage to yourself, the Platform or any third party, you shall bear all liabilities therefor; if the Platform bears any liability due to claims by third parties, we reserve the right to recover from you any fees paid and actual losses incurred.

4.4 Account Security and Safekeeping

You shall bear full responsibility for all activities conducted under your account. You have the obligation to properly safeguard your account, login password, verification codes and other security credentials. Any losses arising from your failure to properly safeguard them (including but not limited to losses to yourself, the Platform, or any third party) shall be borne solely by you. Except as required by laws, regulations, or decisions of administrative or judicial authorities, your account may not be transferred, lent, gifted to any third party in any manner without the Platform's consent.

4.5 Handling of Abnormalities

If you discover that your account has been compromised or that there are other abnormal circumstances endangering account security, you shall immediately notify us via the online contact channel provided on the website, requesting the temporary freeze of your account. You understand and agree that we require a reasonable time to respond to your request, and we shall not be liable for any consequences that have already occurred prior to our action within such reasonable time.

4.6 Binding and Unbinding of Third-party Accounts

You may, through the Platform interface, add or remove the binding relationship with any authorized third-party account on your own. If you lose control of a third-party account, or if the account is stolen or subject to security risks, you shall immediately regain control of the third-party account, unbind it, and notify us for assistance.

 

Article 5 User Conduct Standards

5.1 Lawful Use

When using the Platform services, you shall comply with all applicable laws and regulations, the policies and regulations of domain name industry regulatory bodies (including but not limited to ICANN and domain name registries), and the Platform rules. You shall not use the Platform and services for any illegal purpose.

5.2 Prohibited Conduct

You agree and undertake not to engage in the following conduct:

(a) using any automated programs, software, engines, web crawlers, web scraping tools or other non-manual means to access, query, scrape, reproduce or monitor the content or databases of the Platform;

(b) reverse engineering, decompiling, disassembling the Platform, or attempting to discover the Platform's source code, algorithms, data structures or technical implementations;

(c) engaging in conduct that jeopardizes computer network security, including but not limited to, without authorization, probing, scanning or testing the vulnerabilities of the Platform's system or network, carrying out acts that undermine network security, interfering with the normal operation of the Platform, or intentionally spreading malicious programs or viruses;

(d) forging TCP/IP packet headers or any part thereof, or otherwise technically circumventing the Platform's security measures;

(e) without our written authorization, selling, leasing, lending, disseminating, transferring or sublicensing the Platform's software and services, whether for direct economic or monetary gain or otherwise;

(f) any other conduct that violates laws, regulations, these Terms or the Platform rules.

5.3 Restrictions on Use of Query Results

The query results and data obtained by you through the Platform are limited to your lawful internal reference use or that of the entity you represent. Without our written permission, you shall not reproduce, republish, redistribute on a large scale, or use such results to build a competitive product or service.

5.4 Brand Avoidance Obligations

The User and its Related Parties (including but not limited to the User's affiliates, actual controllers, persons acting in concert, close relatives, employees, and any subject controlled or influenced by the User) undertake not to use any information, data or materials obtained from the Platform to apply for registration, acquisition, or otherwise obtain, in any country or region, any trademark, domain name, enterprise name, trade name, social media account or other commercial identifier that is identical or similar to, or likely to cause confusion with, "聚查", "聚查网", "jucha", "Jucha" and our affiliated brands (including but not limited to "聚名", "聚域", etc.). If you breach this obligation, we have the right to immediately terminate the service, freeze the account, and pursue your legal liability and compensation for damages.

5.5 Obligation to Cooperate

In accordance with laws, regulations and relevant policies, we have the right to provide your registration information, query records and other relevant information to government authorities upon their request. If you discover that your rights have been infringed, please promptly notify us in accordance with Article 13 of these Terms, and at the same time provide details for locating the allegedly infringing information, proof of your rights, your contact details and identification documents.

 

Article 6 Protection of Personal Data

6.1 Privacy Policy

We fully appreciate the importance of personal data privacy to you, and have formulated a Privacy Policy in accordance with the Personal Data (Privacy) Ordinance (Cap. 486 of the Laws of Hong Kong), which details the principles and practices for the collection, use, disclosure, retention, transfer and protection of personal data in the course of providing our services. The Privacy Policy is an integral part of these Terms.

6.2 Processing Authorization

You agree that we will process your personal data in accordance with the Privacy Policy. Without your consent or as otherwise required by relevant laws and regulations, we will not transfer or publicly disclose your personal information to third parties. In the event of any inconsistency between these Terms and the Privacy Policy regarding the same matter, the Privacy Policy shall prevail insofar as personal data protection is concerned.

 

Article 7 Intellectual Property

7.1 Ownership of Platform Content

The content of this website is protected by international copyright, trademark and other intellectual property laws. Our website may provide featured articles, pictures, information, images, surveys, contests, advertisements, trademarks and logos, audio, video, text, data, music, sound effects, graphics, photographs, software and other content materials (collectively, "Content"). Except as set out below, you may not copy, reproduce, upload, publish, display, transmit, modify, create derivative works from, distribute or sublicense such Content in any medium or manner now known or hereafter devised: you may download one copy of the Content on a single computer for your personal, non-commercial home use, provided that you keep intact all trademark, copyright and other proprietary rights notices displayed on, embedded in or otherwise appearing in the Content. All design drawings and other graphical works, product and service names on our Platform are trademarks and logos owned by us. No one may use, reproduce or use them for other purposes without our prior written consent.

7.3 Technical Protection Measures

You shall not crack, alter, reverse engineer, tamper with or otherwise undermine any security measures or technologies we use to protect our products and services.

7.4 Reservation of Rights

All intellectual property rights owned and held by us shall not be transferred as a result of any use by you. All rights not expressly granted to you in these Terms in relation to the website and its content are reserved by us.

7.5 User Content License

If you post or submit any information, comments, feedback or other content on the Platform, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute and display such content for the purposes of operating, promoting and improving the Platform services.

 

Article 8 Freezing, Restriction and Cancellation of Accounts

8.1 Platform's Disposition Rights

We reserve the right, at our sole discretion, to take administrative measures against your account and usage privileges. Without limiting any other remedies, we have the right, at any time, to take one or more of the following measures:

(a) issue a warning to you;

(b) delete or remove any content posted or submitted by you through the Platform;

(c) temporarily or permanently suspend, freeze or terminate your access to and use of all or part of the website's functions;

(d) refuse to provide all or part of the services to you;

(e) restrict your use of specific functions (including but not limited to limiting query frequency, limiting query quantity, suspending offline query privileges, etc.).

The above measures may be taken when or after any of the following circumstances occur, and we may decide, within a reasonably practicable scope, whether to notify you in advance:

(a) you violate these Terms or any rules or eligibility requirements of the services provided by the website;

(b) we are unable to verify or authenticate any information you have provided to us;

(c) we believe that your conduct may cause damage, injury or legal liability to you, or to any supplier, enterprise or promotional partner, advertiser, other users, the public or us;

(d) your account exhibits abnormal login activity, security risks, or has been complained about or reported;

(e) laws, regulations or regulatory authorities require us to take corresponding measures.

8.2 Appeal and Restoration

If you believe your account has been wrongly frozen or restricted, you may lodge an appeal with us through the Platform's online contact channel, and we will review the matter based on the actual circumstances. If, upon verification, there are no circumstances constituting a violation, we will promptly restore your account and functions.

8.3 Account Cancellation

You may submit an application to cancel your account through the online contact channel provided on the website pages. We will review whether your account is in a stable and uncontested state, including but not limited to: having no uncompleted offline query orders, no outstanding fees, and no unresolved complaints or disputes. If your account is subject to complaints by others, investigation by state authorities, or is in the process of litigation or arbitration, we have the right, without obtaining your consent, to suspend the cancellation process until the relevant matters are resolved.

8.4 Consequences of Cancellation

After your account is cancelled, you will no longer be able to use the Platform services. We will process your personal data in accordance with the Privacy Policy, except for information required to be retained by laws and regulations.

8.5 Historical Liability

After the termination of the agreement relationship between you and the Platform, if you engaged in illegal activities or breached these Terms and/or the rules during your use of the Platform services, we still have the right to assert claims against you and pursue liability.

 

Article 9 Limitation of Liability

9.1 Scope of Disclaimer

To the fullest extent permitted by law, in no event shall we, our affiliates, parent companies, subsidiaries, officers, directors, employees, representatives, agents, licensors or licensees, or anyone involved in developing, creating, producing, displaying, transmitting or delivering the content, materials and information used on the website, be liable for any direct, indirect, special, punitive, treble, aggravated, incidental or consequential damages (including loss of profits) arising out of or in connection with the use of the website, links to or from the website, information published on the website, our services, any products or services purchased by you, or these Terms, even if they have been advised of the possibility of such damages.

9.2 Liability Cap

In any event, our total liability to you or any third party (whether in contract, tort or otherwise) shall not exceed the amount (if any) you have paid for the use of the website.

9.3 Disclaimer for Third-Party Content

We are not responsible for the accuracy, quality, safety, legality, intellectual property compliance, privacy policy or content of any information, products or services provided by third-party users, suppliers, advertisers, promotional or commercial partners, or any third-party websites, and you irrevocably waive any claims against us and our affiliates, officers, directors, employees, representatives, agents, licensors and licensees with respect thereto. We make no warranty as to such accuracy and make no representations as to any results from the use of the website's content. You assume all risks associated with the use thereof and bear all costs of any necessary losses, maintenance, repair or correction resulting from such use.

9.4 Force Majeure

If a force majeure event prevents us from fully performing our obligations under these Terms, we will notify you as soon as reasonably practicable and shall be exempted from liability to the extent affected by the force majeure event.

 

Article 10 Indemnification

10.1 Scope of Indemnification

You agree to indemnify, defend and hold harmless us and our affiliates, officers, directors, employees, representatives, agents, licensors and licensees from and against any and all losses, claims, demands, damages, liabilities, costs and expenses (including reasonable legal fees) arising from:

(a) your use of the website or the Platform services;

(b) your breach of these Terms or any documents referenced herein (including but not limited to the Privacy Policy, the Third-party Account Authorized Login Agreement and various Platform rules);

(c) your violation of any applicable law or infringement of any third party's rights while using the website;

(d) the information you provide being untrue, inaccurate, incomplete or unlawful.

10.2 Cooperation in Defense

In the event of any claim or litigation related to these Terms, you shall promptly cooperate and provide reasonable assistance upon receiving our notice. We reserve the exclusive right to select counsel and defend any claim at your expense. You shall not settle any claim without our prior written consent.

 

Article 11 Modification and Termination of Services

11.1 Service Adjustments

We may, at any time at our sole discretion, adjust, suspend or terminate the service content, functions, fee standards and Credit rules. If any such adjustment constitutes a material change, we will make an announcement on the Platform pages.

11.2 Termination by User

You have the right to cease using the Platform services at any time. If you decide to terminate use, it is recommended that you apply for account cancellation in accordance with Article 8, or simply cease using the services. After account cancellation or cessation of use, you will no longer be able to use functions requiring login verification.

11.3 Effect of Termination

Upon termination of services or account cancellation, those provisions of these Terms which by their nature should survive (including but not limited to provisions on intellectual property, limitation of liability, indemnification, governing law and dispute resolution) shall remain in full force and effect and shall be binding upon the parties.

 

Article 12 Modification of Terms

12.1 Reservation of Right to Modify

We reserve the right, at our sole discretion, to change, modify, add or delete portions of these Terms at any time. Changes to these Terms will become effective upon being published on the Platform, unless otherwise stated.

12.2 Notification of Material Changes

If the modifications to these Terms constitute a material change, we will notify you by means of a prominent announcement on the website or other appropriate means. You are responsible for regularly reviewing these Terms to stay informed of updates.

12.3 Acceptance of Modifications

Your continued use of the website after the effective date of the changes constitutes your unconditional and unreserved acceptance of and agreement to be bound by the then-current Terms. If you do not agree to the modified terms, you shall immediately cease using the Platform services.

 

Article 13 Notices and Contact Details

13.1 Method of Notice

All notices from us to you under these Terms may be made by way of webpage announcements, internal platform messages, emails, etc., and such notices shall be deemed delivered to you on the date of dispatch.

13.2 Contact Channel

If you have any questions regarding these Terms or matters related to the use of our products and/or services (including inquiries, complaints, etc.), please contact us via the online contact channel provided on the website pages (www.jucha.com). We will respond to your questions through the online channel as soon as possible.

13.3 Service of Legal Documents

If required for dispute resolution, you agree that the email address or contact address provided by you during registration or use may be used as the address for service of legal documents. If the address changes, you shall update it in a timely manner; otherwise, notices sent to the original address shall still be deemed validly served.

 

Article 14 Governing Law and Dispute Resolution

14.1 Governing Law

The interpretation of these Terms and the resolution of any disputes shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be resolved through friendly negotiation between the parties. If the negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its Arbitration Rules then in effect. The seat of arbitration shall be the Hong Kong Special Administrative Region. The arbitral tribunal shall consist of one arbitrator. The language of the arbitration shall be Chinese. The arbitral award shall be final and binding on both parties.

 

Article 15 Miscellaneous

15.1 Severability

If any provision of these Terms is held to be void, invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. In such case, the parties shall replace it with a valid and enforceable provision that best reflects the intent of the original provision.

15.2 Entire Agreement

These Terms, together with the Privacy Policy, the Third-party Account Authorized Login Agreement, and various platform rules published and announced by the Platform from time to time, constitute the entire agreement between the parties on the subject matter hereof and supersede all prior oral or written agreements, representations and commitments made between the parties regarding the same subject matter.

15.3 No Waiver

Our failure to require your performance of any provision of these Terms at any time shall not affect our right to require such performance at any subsequent time. Any single waiver by us of a breach of any provision of these Terms shall not be construed as a waiver of any subsequent breach.

15.4 Assignment

You may not assign any of your rights or obligations under these Terms to any third party without our prior written consent. We may assign our rights or obligations under these Terms to any affiliate or successor in connection with the Platform's business without obtaining your separate consent, provided that we will make an announcement on the Platform pages.

15.5 Headings

The headings of the Articles in these Terms are inserted for convenience of reading only and shall not affect the interpretation of any provision of these Terms.
